Terms of Service

Zant, Inc., a Delaware corporation · 33 Newark Street, Floor 4, Hoboken, NJ 07030

These Terms of Service ("Terms") are a binding agreement between you and Zant, Inc. ("Zant," "we," "us," or "our"), a Delaware corporation located at 33 Newark Street, Floor 4, Hoboken, NJ 07030. They govern your use of Zant's websites, web app, marketplace, tools, programs, and events (together, the "Platform"), including:

  • •https://www.getzant.com, our public website
  • •https://zantcoach.co and every page and subdomain under it, which hosts the Zant web app

By creating an account, clicking to accept, or using the Platform, you agree to these Terms and to our Privacy Policy, available in the Trust Center at www.getzant.com, which is part of these Terms. If you do not agree, do not use the Platform.

IMPORTANT: Section 12 contains a binding arbitration agreement and a class action waiver that affect how disputes are resolved. Please read it carefully.

1. Acceptance of Terms

"Client" means any Marketplace, Coach Invited, or Sourced Client. "User" or "you" means anyone who uses the Platform in any role.

1.2 Additional Agreements

Enterprise Customers, Funds, and Partners may sign an order form, master services agreement, or partnership agreement with Zant. If that signed agreement conflicts with these Terms, the signed agreement controls for that relationship. Coaches may also sign a separate Coach Agreement or engagement specific agreement with Zant, which controls if it conflicts with these Terms.

2. Eligibility, Accounts, and What Zant Is

2.1 Eligibility

  • •You must be at least 18 years old and able to form a binding contract to use the Platform.
  • •If you use the Platform on behalf of a company, fund, or organization, you confirm you are authorized to bind it to these Terms.
  • •If a Coach chooses to work with a client under 18, the Coach is solely responsible for obtaining parental or guardian consent and complying with all applicable laws. Zant assumes no liability for those relationships, and minors may not create their own accounts.

2.2 Accounts and Security

  • •You must provide accurate, current, and complete information and keep it updated.
  • •You are responsible for safeguarding your login credentials and for all activity under your account.
  • •You must tell us promptly at support@zant.app if you suspect unauthorized use of your account.
  • •Accounts are personal and may not be shared, sold, or transferred.
  • •Zant is not liable for losses caused by a compromised account resulting from your failure to protect your credentials.

2.3 What Zant Is

Zant provides (a) a software platform that helps Coaches run their practices, (b) a marketplace where Clients can discover Coaches, and (c) sourcing, matching, and representation services that connect Coaches with Clients, Enterprise Customers, Funds, and Partners.

2.4 What Zant Is Not

  • •Zant is not a coaching provider. Coaching services are provided solely by Coaches. Zant does not supervise, direct, or control how Coaches deliver their services.
  • •Coaches are independent businesses, not employees, partners, or joint venturers of Zant. Coaches are responsible for their own services, taxes, licenses, insurance, and legal compliance.
  • •Coaching is not therapy, counseling, medical, legal, financial, or investment advice. Coaching is not a substitute for licensed professional care. If you are in crisis, contact emergency services.
  • •Zant does not guarantee outcomes from any coaching engagement, match, or program.
  • •Zant does not verify every credential a Coach lists, although we may review credentials and remove Coaches who misrepresent them. Clients should do their own diligence.
  • •Zant is not a broker dealer or investment adviser and does not introduce founders to investors or recommend securities.

3. Coach Memberships

Coaches use the Platform through one of three paid memberships. Current pricing and features are shown on the pricing page and at checkout, and the version shown at checkout controls.

Features included in each membership are listed on our pricing page and may be updated from time to time. Fees for events Zant produces or promotes are separate and described in Section 5.4.

Payment processing fees and Platform transaction fees under Section 5.3 apply to all memberships.

3.1 Billing and Renewal

  • •Memberships are billed in advance on a monthly or annual basis, as selected at checkout.
  • •Memberships renew automatically at the end of each billing period at the then current price until you cancel.
  • •You can cancel at any time in your account settings or by emailing support@zant.app. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • •We will give you at least 30 days' notice by email before any increase in your membership price takes effect. If you do not agree, you may cancel before the increase applies.
  • •If a payment fails, we may retry the charge, pause your membership benefits, or downgrade your account until payment is made.

3.2 Upgrades and Downgrades

Upgrades take effect immediately, and we may charge a prorated amount. Downgrades take effect at the next billing period. Downgrading from Premium ends Zant's representation of you for new opportunities, but it does not change the fees or protections that apply to any Sourced Client introduced while you were Premium (Sections 4 and 6).

4. Sourcing, Representation, and Placement Fees

4.1 Premium Coaches: Zant Acts on Your Behalf

By choosing a Premium membership, you appoint Zant as your nonexclusive representative for opportunities that Zant sources. You authorize Zant to:

  • •Present your profile, experience, and services to potential Clients, Enterprise Customers, Funds, and Partners
  • •Add you to shortlists, proposals, requests for proposal, and pitches
  • •Negotiate scope, schedule, and fees with the potential Client on your behalf, within the rates and availability you have set or approved
  • •Coordinate contracts, onboarding, and invoicing for the engagement

Zant will not bind you to any engagement without your approval. You may decline any opportunity. This appointment covers only opportunities Zant sources; it does not stop you from finding your own clients.

4.2 No Guarantee of Opportunities

Premium membership makes you eligible for sourcing. It does not guarantee any number of introductions, shortlists, engagements, or income. Zant decides, in its sole judgment, which Coaches to present for each opportunity based on the Client's needs.

4.3 Non Premium Coaches May Also Be Sourced

To put the best Coaches in front of each Client, Zant may also present an Essential or Professional Coach who meets a Client's requirements. If you are presented and accept the engagement, that Client becomes your Sourced Client, and the placement fee in Section 4.4, the non circumvention terms in Section 6, and the confidentiality terms in Section 7 apply exactly as they would for a Premium Coach.

4.4 Placement Fee

When Zant introduces, shortlists, matches, refers, or otherwise brings a Sourced Client to you, or closes an engagement or contract for you, Zant earns a placement fee of 20% of all amounts the Sourced Client pays for your services. The placement fee applies to:

  • •The original engagement, and any renewals, extensions, expansions, or new engagements with that Sourced Client during the Protection Period in Section 6
  • •Work for any affiliate, team member, department, or portfolio company of the Sourced Client that results from the introduction

Zant may, at its sole discretion, reduce the placement fee to 15% for a specific engagement. A reduced rate applies only when Zant confirms it in writing for that engagement and does not change the rate for any other engagement.

4.5 How the Placement Fee Is Collected

Unless agreed otherwise in writing, Zant invoices and collects payment from the Sourced Client, deducts the placement fee, and pays you the balance through Stripe Connect after Zant receives the Client's payment. If a Sourced Client pays you directly for any reason, you must notify Zant within 5 business days and pay Zant the placement fee within 15 days of receiving payment.

4.6 Fees Zant Charges Clients

For enterprise, fund, partner, and concierge engagements, Zant may also charge the Client its own facilitation, matching, sourcing, program management, or finding fee. You acknowledge and agree that these fees belong solely to Zant, are separate from and in addition to your fees, do not reduce the amount you are paid, and do not need to be disclosed to you.

4.7 Marketplace Clients Are Different

If a Client finds you on their own through the Zant marketplace, without being introduced, shortlisted, or referred by Zant, Zant charges no placement fee or commission on that booking. Only payment processing and Platform transaction fees under Section 5.3 apply. A Client Zant previously introduced to you remains a Sourced Client even if they later book you through the marketplace.

5. Fees and Payments

5.1 Payment Processing

Payments on the Platform are processed by Stripe through Stripe Connect. By receiving payments, Coaches agree to the Stripe Connected Account Agreement. Zant collects payments from Clients as the Coach's limited payment collection agent, and a Client's payment to Zant counts as payment to the Coach. Zant pays Coaches their share, minus applicable fees, on Stripe's payout schedule.

5.2 Summary of Zant Fees

5.3 Processing and Transaction Fees

  • •Stripe charges payment processing fees on every transaction. These may be deducted from the Coach's payout and may change whenever Stripe changes its pricing.
  • •Zant may add, change, or remove Platform transaction fees at any time and for any reason. A change applies to transactions processed after it is posted on our pricing page or in the Platform.
  • •Except as stated in Section 4.7, these are the only fees deducted from marketplace and Coach Invited bookings.

5.4 Events and Webinars

If Zant produces, creates, hosts, cohosts, promotes, participates in, or helps fill seats for any webinar, workshop, series, course, or virtual or in person event for a Coach, or otherwise puts the Coach in front of the Zant community, Zant earns 20% of all revenue from that event, including ticket sales, registrations, and sponsorships. Any attendee who becomes a client of the Coach within the Protection Period is treated as a Sourced Client under Sections 4 and 6. This 20% fee applies to every membership, including Premium. The 0% event and content fee for Premium Coaches applies only to events and content the Coach creates, hosts, and fills on their own.

5.5 Concierge Matching

Zant may charge Clients, Enterprise Customers, or Funds a fee for concierge matching. Concierge fees are earned when the match is delivered and are nonrefundable.

5.6 Coach Pricing, Refunds, and Chargebacks

  • •Coaches set their own rates for marketplace and Coach Invited Clients and must publish clear cancellation and refund policies for their clients.
  • •Refunds of coaching fees follow the Coach's published policy. If a refund or chargeback is issued, the Coach is responsible for the refunded amount, and Zant may recover it from future payouts.
  • •Zant fees on a transaction that is refunded or charged back are not returned, except where the law requires.

5.7 Zant Fees Are Nonrefundable

Membership, placement, event, and concierge fees are nonrefundable, except where the law requires otherwise.

5.8 Payments Outside the Platform

Coaches may record payments from their own Coach Invited Clients that are made outside the Platform. Payments from Sourced Clients must go through Zant unless Zant agrees otherwise in writing (Section 4.5).

5.9 Taxes

Coaches are responsible for all taxes on their income. Stripe or Zant may issue tax forms, such as Form 1099 K, as required by law. Coaches must provide accurate tax information when asked. Prices for Clients may exclude applicable sales or similar taxes.

5.10 Setoff

Zant may deduct any amount a Coach owes Zant, including placement fees, event fees, conversion fees under Section 6, and chargebacks, from any payout owed to that Coach.

6. Non Circumvention

Zant invests significant time and resources to source, vet, match, and introduce Coaches and Clients. This Section protects that investment. It binds both Coaches and Clients, including Enterprise Customers, Funds, and Partners.

6.1 Protection Period

The Protection Period for each Coach and Sourced Client pair begins on the date Zant first introduces, shortlists, matches, or refers them to each other, whether or not an engagement results, and ends two (2) years later.

6.2 What Is Not Allowed

During the Protection Period, neither the Coach nor the Sourced Client may, directly or indirectly, contract, engage, pay, or work together for coaching, consulting, advisory, training, speaking, or similar services outside the Platform, or encourage the other to do so. This includes working through another company, platform, agency, or affiliate, and working with the Sourced Client's affiliates, employees, departments, or portfolio companies that came from the introduction.

6.3 Conversion Fees

The parties agree that Zant's losses from circumvention are hard to calculate, and that the following fees are a reasonable estimate of those losses and not a penalty. If a Coach and Sourced Client work together outside the Platform during the Protection Period:

  • •The Coach owes Zant (a) the placement fee on all amounts paid for those services, plus (b) a conversion fee of $10,000.
  • •The Sourced Client owes Zant a conversion fee of $10,000.

Each party's fee is separate. Unpaid amounts accrue interest at 1.5% per month or the highest rate allowed by law, whichever is lower, and Zant may recover its reasonable collection costs and attorneys' fees.

6.4 Buyout Option

A Coach or Sourced Client that wishes to work together directly may do so by notifying Zant in writing and paying its conversion fee in advance. Once both applicable fees are paid, this Section no longer restricts that relationship.

6.5 Pre Existing Relationships

This Section does not apply to a Client the Coach can show, with reasonable written evidence, that they had an active or documented business relationship with during the 12 months before Zant's introduction. The Coach must notify Zant of the relationship within 5 business days of the introduction.

6.6 Records and Remedies

On reasonable request, a Coach or Sourced Client must confirm in writing whether it has worked with the other outside the Platform during the Protection Period. Violations of this Section are grounds for immediate suspension or termination. These remedies are in addition to any other remedies Zant has at law or in equity, including injunctive relief.

7. Confidentiality and NDAs

7.1 Automatic Confidentiality

Every Coach and Client engagement on or through the Platform is automatically confidential, whether or not a separate agreement is signed. A Coach must keep confidential everything a Client shares in coaching, and any nonpublic information about the Client's business, employees, finances, investors, plans, or strategy ("Confidential Information"), and may use it only to provide coaching to that Client.

A Coach may disclose Confidential Information only (a) with the Client's written consent, (b) when required by law or court order, after giving the Client notice where legally allowed, or (c) when necessary to prevent a serious and imminent threat of harm to someone.

7.2 NDAs

At any time before or during an engagement, the Client, the Enterprise Customer or Fund, or Zant may ask the Coach to sign a nondisclosure or confidentiality agreement. That agreement may be provided by the Client or by Zant. Coaches agree to sign a reasonable NDA when asked as a condition of the engagement. If a signed NDA conflicts with this Section, the more protective terms apply.

7.3 Zant Confidential Information

Zant's nonpublic information, including Client lists, opportunity details, pricing, proposals, rates negotiated on a Coach's behalf, and the fees Zant charges Clients, is confidential. Coaches and Clients may use it only for the engagement it was shared for and may not disclose it.

7.4 Sponsors and Coaching Content

Coaches may not share what a Client says in coaching with the Client's employer, Fund, investor, or Partner without the Client's written consent, even if that sponsor pays for the coaching. What sponsors can see on the Platform is described in our Privacy Policy.

7.5 Duration

These obligations continue during the engagement and for five (5) years after it ends, and indefinitely for personal information and trade secrets.

8. Content, Marketing, and Intellectual Property

8.1 Zant's Property

Zant owns the Platform, software, design, branding, trademarks, and proprietary materials. You may not copy, modify, reverse engineer, scrape, resell, or create competing products from the Platform.

8.2 Your Content

You keep ownership of the content you upload, such as your profile, bio, photos, courses, and materials ("Your Content"). You grant Zant a worldwide, nonexclusive, royalty free license to host, display, and distribute Your Content as needed to operate the Platform and provide its services to you. You confirm you have the rights to Your Content and that it does not infringe anyone's rights.

8.3 Marketing License for Coaches

By joining Zant, Coaches grant Zant a license to use their name, image, likeness, bio, credentials, and profile information to promote the Coach and the Platform, including in proposals to potential Clients, on our websites, social media, newsletters, and events. Zant may edit and format this material for length and presentation.

Upon termination, Zant will stop new promotion of the Coach within a reasonable time, but is not required to remove content already published.

8.4 Co Created Content and Recordings

Content Zant produces, hosts, or cohosts with a Coach, such as webinars, panels, podcasts, and event recordings ("Co Created Content"), may be recorded, edited, and distributed by Zant. Zant may continue to use Co Created Content after termination. Coaching sessions with Clients are never Co Created Content, and Zant does not record coaching sessions.

8.5 Reviews and Feedback

Clients may post honest reviews of Coaches. Reviews must be truthful and may not include confidential information. Zant may remove reviews that violate these Terms. Coaches may not offer incentives for positive reviews or post reviews of themselves. If you send Zant suggestions or feedback, Zant may use them without obligation to you.

8.6 Copyright Complaints

If you believe content on the Platform infringes your copyright, email support@zant.app with the subject line "Copyright Notice," including the information required by the Digital Millennium Copyright Act. Zant may remove infringing content and terminate repeat infringers.

9. Enterprise, Fund, and Partner Programs

  • •Sponsored coaching. Enterprise Customers and Funds may pay for coaching for their employees or portfolio founders ("Sponsored Participants"). Sponsored Participants must accept these Terms to use the Platform.
  • •Budgets and billing. Sponsors set program budgets, per company allowances, and eligibility in their dashboard. Sponsors are responsible for paying all invoices for sessions booked within their program, according to their order form.
  • •Matching and finding fees. Zant may charge sponsors facilitation, matching, sourcing, or program management fees in addition to coaching fees (Section 4.6).
  • •Non circumvention applies to sponsors. Sponsors are Sourced Clients for every Coach Zant introduces to them or their people, and Section 6 applies to them, their affiliates, and their portfolio companies.
  • •Limited visibility. Sponsors see only program level information, such as enrollment, session counts, hours, and spend, as described in our Privacy Policy. Sponsors may not require a Coach or Sponsored Participant to disclose what was discussed in coaching, and may not use the Platform to make employment, compensation, or investment decisions about a person.
  • •Partner offers. Partner discounts or benefits apply only to eligible members, may be verified with the Partner, and may end when the partnership ends.

10. Standards, Conduct, AI, and Third Party Services

10.1 Coach Standards

Coaches agree to:

  • •Represent their credentials, certifications, experience, and results truthfully
  • •Follow the ICF Code of Ethics or an equivalent professional code
  • •Refer Clients to licensed professionals when a Client's needs go beyond coaching, such as mental health, medical, legal, or financial concerns
  • •Carry their own professional liability insurance; Zant provides no insurance of any kind
  • •Obtain consent from every participant before recording or transcribing a session with any tool
  • •Comply with all laws that apply to their practice, including privacy, consumer protection, and tax laws
  • •Consent to reasonable verification, which may include credential checks and, for enterprise opportunities, background checks with the Coach's permission

10.2 Prohibited Conduct

No User may:

  • •Harass, threaten, discriminate against, exploit, or harm anyone
  • •Circumvent the Platform or its fees, or encourage anyone else to do so
  • •Misrepresent their identity, credentials, or affiliation
  • •Post false, misleading, defamatory, or infringing content
  • •Use the Platform for anything unlawful, fraudulent, or unauthorized
  • •Scrape, copy, or harvest data or profiles from the Platform, or use it to build a competing product
  • •Upload malware or interfere with the Platform's security or operation
  • •Solicit Zant's Coaches, Clients, or staff for a competing platform

Zant may investigate suspected violations and take any action it considers appropriate, including removing content and suspending or terminating accounts.

10.3 AI Features

The Platform may offer optional AI features, such as session summaries and suggested next steps. AI output can be inaccurate and is a draft for the User to review. It is not professional advice and does not replace a Coach's judgment. Users are responsible for how they use AI output, and Coaches must have a Client's consent before submitting that Client's content to an AI feature. How AI features handle data is described in our Privacy Policy.

10.4 Third Party Services

The Platform works with third party services such as Stripe, Google Calendar, Microsoft Outlook, Google Meet, Zoom, Microsoft Teams, and DocuSign. Each Coach chooses which calendar and video service to connect. Your use of those services is governed by their own terms. Zant is not responsible for third party services, their availability, or any loss they cause.

10.5 Beta Features

Zant may offer beta or experimental features. They are provided as is, may not work as expected, and may be changed or discontinued at any time.

10.6 Community

Coaches may use Zant's community spaces, including posts, forums, events, and private client groups. Community posts must follow Section 10.2 and may not include any Client's Confidential Information. Zant may moderate, remove posts, or limit community access at its discretion. Coaches who create private client groups are responsible for moderating them.

10.7 Bookings Without an Account

Clients may book a Coach through a Coach's booking link without creating an account. By completing a booking, the Client agrees to these Terms and the Privacy Policy, which must be linked on the booking page.

11. Termination and Offboarding

11.1 Coaches

  • •Coaches may cancel their membership and close their account at any time by giving at least 24 hours' notice to support@zant.app.
  • •Offboarding may take up to 14 days so that pending sessions, refunds, and payouts can be reconciled.
  • •Before deletion, a Coach may request an export of their profile, client list, booking history, and invoices. Zant will help migrate records where practical.
  • •Once an account is deleted, its data is permanently erased as described in our Privacy Policy and cannot be recovered.

11.2 Clients

Clients may delete their account at any time from their settings or by contacting support@zant.app. Sessions already booked follow the Coach's cancellation policy.

11.3 Termination or Suspension by Zant

Zant may suspend or terminate any account, remove any content, or end any membership, with or without notice, for:

  • •Breach of these Terms, including fee avoidance or circumvention
  • •Fraud, harassment, misrepresentation, or misuse
  • •Conduct that could expose Zant, Users, or Clients to harm or legal liability
  • •Nonpayment
  • •Inactivity, or discontinuing part of the Platform, with reasonable notice

If Zant terminates a paid membership without cause, it will refund the unused portion of any prepaid fees.

11.4 What Survives

Termination does not end obligations that arose before it, or Sections 4.4 through 4.6, 5, 6, 7, 8, and 12. Placement fees, the Protection Period, and conversion fees continue to apply after a Coach downgrades, cancels, or is terminated.
